This Terms and Conditions Agreement (\u201cAgreement\u201d) is a legally binding contract between you (\u201cUser,\u201d \u201cyou\u201d) and Suite Dynamic (\u201cwe,\u201d \u201cus,\u201d or \u201cthe Platform\u201d) regarding your use of SuiteVault, our Multi-Party Computation (MPC) wallet service (\u201cSuiteVault\u201d or \u201cService\u201d).<\/span><\/p>\n

By accessing or using SuiteVault, you agree to be bound by this Agreement. If you do not agree, please do not use SuiteVault.<\/span><\/p>\n

  1. Eligibility and Account Registration<\/b>\n

    1. You confirm that you are at least 18 years old or of the age of majority in your jurisdiction and have full legal capacity to enter this Agreement.<\/span><\/li>\n
    2. You agree to provide complete, accurate, and current information when registering or setting up SuiteVault, and to update your information promptly as needed.<\/span><\/li>\n
    3. You are responsible for maintaining the confidentiality of any credentials, including biometric data, passwords, and encryption keys related to SuiteVault.<\/span><\/span><\/li>\n<\/ol>\n

    4. Description of SuiteVault Service<\/b>\n
        \n
      1. SuiteVault uses Multi-Party Computation technology to enhance the security of your private keys by distributing key shares across multiple parties\/devices rather than storing a single key in one location.<\/span><\/li>\n
      2. Transactions require authorization through coordinated key shares, ensuring that no single party can unilaterally access or transfer your assets.<\/span><\/li>\n
      3. SuiteVault supports multiple blockchain assets accessible via a secure, user-friendly interface.<\/span><\/li>\n<\/ol>\n

      4. User Responsibilities and Security<\/b>\n
          \n
        1. You must securely manage and protect your access credentials, devices, and backup key shares. Loss, theft, or compromise of these may lead to irreversible loss of access or assets.<\/span><\/li>\n
        2. You agree to follow all recommended security practices, including enabling biometric authentication and performing regular backups of encrypted key shares.<\/span><\/li>\n
        3. You are solely responsible for all transactions executed via SuiteVault. Unauthorized transactions resulting from compromised credentials or devices are your responsibility.<\/span><\/li>\n
        4. You must immediately notify Suite Dynamic of any suspected unauthorized access or security breaches.<\/span><\/li>\n<\/ol>\n

        5. Fees and Charges<\/b>\n

          1. Use of SuiteVault may be subject to service fees, transaction fees, or network fees. These will be disclosed transparently before any transaction or service is rendered.<\/span><\/li>\n
          2. Fees may be updated periodically with prior notice to users.<\/span><\/li>\n<\/ol>\n

          3. Limitation of Liability and Risk Acknowledgment<\/b>\n
              \n
            1. You acknowledge that blockchain transactions are irreversible by nature; once a transaction is authorized and processed, it cannot be undone.<\/span><\/li>\n
            2. Suite Dynamic provides SuiteVault \u201cas is\u201d without warranties of uninterrupted access, error-free operation, or guaranteed security from all threats.<\/span><\/li>\n
            3. Suite Dynamic shall not be liable for any direct or indirect damages, losses, or liabilities arising from:<\/span>\n

              • Loss, theft, or compromise of private key shares or credentials.<\/span><\/li>\n
              • Device malfunction or loss leading to inability to access the wallet.<\/span><\/li>\n
              • Unauthorized transactions resulting from user negligence or third-party attacks.<\/span><\/li>\n
              • Technical failures, including network outages, software bugs, or force majeure events.<\/span><\/li>\n<\/ul>\n<\/li>\n
              • You assume all risks associated with the use of SuiteVault, including risks inherent to\u00a0 \u00a0 cryptocurrencies, blockchain technology, and third-party service providers.<\/span><\/li>\n<\/ol>\n

                1. Suite Dynamic commits to protecting your personal data in accordance with applicable privacy laws.<\/span><\/li>\n
                2. Your cryptographic key shares and transaction data are encrypted and never revealed in plain text to any third party without your explicit consent.<\/span><\/li>\n
                3. For details on data collection and handling, please consult the Suite Dynamics Privacy Policy.<\/span><\/li>\n<\/ol>\n

                4. Termination and Suspension<\/b>\n

                  1. Suite Dynamic reserves the right to suspend or terminate your access to SuiteVault if you violate this Agreement or engage in suspicious or fraudulent activity.<\/span><\/li>\n
                  2. You may terminate your use of SuiteVault at any time by closing your wallet and withdrawing your assets, subject to any applicable transaction processing times.<\/span><\/li>\n<\/ol>\n

                  3. Amendments to Terms<\/b>\n
                      \n
                    1. Suite Dynamic may modify this Agreement from time to time. Material changes will be communicated via platform notifications.<\/span><\/li>\n
                    2. Continued use of SuiteVault after changes constitutes acceptance of the updated terms.<\/span><\/li>\n<\/ol>\n

                    3. Governing Law and Dispute Resolution<\/b>\n

                      1. This Agreement is governed by the laws applicable to Suite Dynamic\u2019s jurisdiction.<\/span><\/li>\n
                      2. All disputes arising out of use of SuiteVault shall be resolved first through amicable negotiation, then, if unresolved, through binding arbitration or competent courts.<\/span><\/li>\n<\/ol>\n
